1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Proposals Builder (the "Service"), a document-building and e-signature platform. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Proposals Builder lets you create, style, and send documents (proposals, contracts, and similar content) for review and electronic signature, and provides supporting features such as templates, workspaces, notifications, and AI-assisted drafting.

3. Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@proposalsbuilder.com if you suspect unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Send documents containing unlawful, fraudulent, defamatory, or infringing content;
  • Impersonate any person or entity, or misrepresent your affiliation with one;
  • Attempt to gain unauthorized access to another user's account or data;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to collect signatures or personal data without a lawful basis to do so.

5. Your Content and Signed Documents

You retain ownership of the documents, templates, and other content you create or upload ("Your Content"). You grant us a limited license to host, store, process, and transmit Your Content solely to operate and improve the Service — for example, rendering your documents, delivering them to signers, and generating the final signed PDF. You are solely responsible for the accuracy, legality, and enforceability of documents you send for signature; we are not a party to any agreement formed between you and your signers.

6. Signers Who Are Not Account Holders

When you send a document for signature, the recipient may view and sign it through a secure link without creating an account. By sending a document to a signer, you confirm you have the right to share their contact details with us for this purpose.

7. AI-Assisted Features

Some drafting and content-suggestion features use third-party AI models to generate or refine text based on prompts you provide. AI-generated content may be inaccurate or require editing — you are responsible for reviewing anything you send to a signer, whether or not it was AI-assisted.

8. Intellectual Property

The Service itself — its software, design, and branding — is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding beyond what is necessary to use the Service.

9. Plans and Fees

Certain features may be offered under paid plans. Fees, if applicable, will be disclosed before you are charged. Continued use of a paid plan after a price change constitutes acceptance of the new price.

10. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you materially breach these Terms, including for abusive or unlawful use of the Service.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any document generated or signed through it will be legally binding in every jurisdiction or use case — you are responsible for confirming that electronic signature is appropriate for your specific document and jurisdiction.

12. Limitation of Liability

To the maximum extent permitted by law, Proposals Builder and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service.

13. Governing Law

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of India.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as an in-app notice or an email to your registered address. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
